Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Adaptive Digital Ventures LLC, a Wyoming limited liability company ("Company", "we", "us"), operating the NewBuild.Page platform ("Service"). By creating an account or using the Service, you agree to these Terms.

1. The service

NewBuild.Page is an AI-powered platform that generates landing pages for real estate professionals. You upload marketing materials such as developer brochures, and the platform generates web pages with lead capture, image galleries, and property information. You can then publish these pages on subdomains we provide or on your own custom domains.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts. If you use the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate information when registering. One account per person or entity. You must notify us promptly if you believe your account has been compromised.

We support authentication via Google, Microsoft, and email link. We do not store passwords.

4. Plans and pricing

The Service is offered under tiered subscription plans:

• Starter — 2 pages, 2 custom domains, 10 AI edits per page (lifetime per page).
• Pro — 5 pages, 5 custom domains, 10 AI edits per page (lifetime per page), plus additional features including lead source tracking, weekly lead reports, lead conversion analytics, top-performing pages dashboard, and NewBuild branding removal.
• Agency — custom pricing, unlimited pages, domains, and AI edits, plus white-label options, multi-user seats, shared lead inbox, and agency-level analytics. Available by contacting us directly.

All plans include a 7-day free trial with full access to plan features. No credit card is required to start a trial. Billing begins automatically at the end of the trial period unless you cancel.

We reserve the right to change pricing at any time. Price changes will not affect your current billing period. We will provide at least 30 days' notice before any price increase takes effect on your account.

5. Payment and billing

Paid plans are billed monthly or annually as selected at the time of purchase. All payments are processed through Stripe. By subscribing to a paid plan, you authorise us to charge the payment method on file on a recurring basis.

New subscriptions include a 7-day free trial with full access to your chosen plan's features. You will not be charged until the trial period ends. You may cancel during the trial at no cost.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period.

6. AI edits and usage limits

Each page you create has a lifetime AI edit allowance determined by your plan. An "AI edit" is defined as any request to the AI to modify, regenerate, or update content on a published or draft page. Once the edit allowance for a page is exhausted, no further AI modifications can be made to that page.

Usage limits (pages, domains, edits) are enforced at the plan level. Exceeding your plan's limits requires upgrading to a higher plan or purchasing additional capacity if and when such options are available.

7. Content and ownership

Your content. You retain full ownership of all content you upload to the Service, including brochures, images, text, and property information. You grant us a limited, non-exclusive licence to use this content solely to operate the Service on your behalf — specifically, to generate, host, and serve your landing pages.

Generated pages. Landing pages generated by the platform are derivative works created from your content using our technology. You may use generated pages for the duration of your subscription for their intended purpose (real estate marketing and lead generation). You may not resell, redistribute, or sublicence the underlying generated code or templates.

Lead data. When visitors submit their information through pages you publish, you are the data controller for that lead data. We store it on your behalf and make it accessible through your dashboard. We do not use lead data for any purpose other than providing the Service to you.

Our content. The Service, including its design, code, AI models, branding, and documentation, remains our intellectual property. Nothing in these Terms transfers ownership of the platform to you.

8. Acceptable use

You may only use the Service for lawful purposes related to real estate marketing and lead generation. You must not:

• Upload content that infringes on third-party intellectual property rights.
• Publish pages containing materially misleading information about properties, pricing, availability, or investment returns.
• Violate applicable real estate advertising regulations in your jurisdiction.
• Use the Service to send unsolicited communications (spam) or harvest contact information.
• Attempt to reverse-engineer, copy, or extract the AI models, algorithms, or proprietary technology underlying the Service.
• Share account credentials or allow multiple individuals to use a single account (unless on a plan that includes multi-user seats).
• Use the Service in a manner that could damage, disable, or impair our infrastructure.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

9. Custom domains

Certain plans allow you to connect custom domains to your published pages. You are responsible for domain registration, DNS configuration, and maintaining ownership of any custom domains you use with the Service.

We provision SSL certificates automatically for custom domains via Cloudflare. We are not responsible for domain registration renewals, DNS propagation issues, or domain disputes.

If your subscription is cancelled or downgraded below the custom domain allowance, pages served on custom domains will stop resolving after the end of your billing period.

10. Availability and uptime

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is hosted on Cloudflare's global network. Planned maintenance will be communicated in advance where possible.

We are not liable for temporary unavailability caused by factors outside our control, including third-party service outages, network issues, or force majeure events.

11. Data and privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you also agree to the Privacy Policy.

We use Cloudflare for hosting and CDN, Firebase for authentication, and Stripe for payment processing. Each operates under their own privacy and data processing terms.

12. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost leads, lost revenue, or business interruption.
• Our total aggregate liability for any claims arising from or related to the Service is limited to the total amount you paid us in the 12 months immediately preceding the event giving rise to the claim.
• We are not responsible for the accuracy or completeness of content generated by AI. You are responsible for reviewing generated pages before publishing.

13. Indemnification

You agree to indemnify and hold harmless Adaptive Digital Ventures LLC, its officers, and affiliates from any claims, losses, or damages (including legal fees) arising from: your use of the Service, content you upload or publish, your violation of these Terms, or your violation of any applicable law or regulation.

14. Termination

By you. You may cancel your subscription at any time through your account settings or by contacting us.

Trial cancellation. If you cancel during your trial period before any payment has been made, all published pages will immediately revert to draft and will no longer be publicly accessible.

Paid plan cancellation. If you cancel a paid subscription, your pages will remain live and publicly accessible for a 30-day grace period following the end of your current billing period. This grace period is provided to give you time to migrate your content and notify your leads. After 30 days, all published pages will revert to draft and will no longer be publicly accessible.

By us. We may suspend or terminate your account if you breach these Terms, if your payment fails and remains unresolved for 14 days, or if we discontinue the Service.

Effect of termination. Upon account deletion, your uploaded content and lead data will be deleted within 30 days. We may retain anonymised, aggregate data for internal analytics. Your generated pages and content remain accessible through your dashboard during any applicable grace period, but you may not create new pages or make AI edits once your subscription has ended.

15. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States. Any disputes arising from these Terms or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Sheridan, Wyoming, or remotely at the parties' mutual agreement.

17. General

• If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Our failure to enforce any right or provision does not constitute a waiver.
• These Terms constitute the entire agreement between you and us regarding the Service.
• You may not assign or transfer your rights under these Terms without our prior written consent.
